1. About Us

Talvera Orbit ("the Software") is a product of Talvera Solutions LLP, a limited liability partnership registered in India under the Limited Liability Partnership Act, 2008.

2. Acceptance of Terms

By downloading, installing, activating, or using Talvera Orbit, or by making a payment for a license, you unconditionally agree to be bound by these Terms & Conditions, our Refund & Cancellation Policy, and our Privacy Policy (collectively, "the Agreement").

If you do not agree with any part of this Agreement, you must not download, install, activate, or use the Software, and must not make any payment. Completing a payment constitutes explicit acceptance of all terms in this Agreement, including the non-refundability clause in Section 5.

If you are purchasing on behalf of a business or organisation, you represent and warrant that you have full authority to bind that entity to this Agreement.

3. License Grant & Restrictions

3A. Desktop License (Windows Application)

Subject to full payment and compliance with this Agreement, Talvera Solutions LLP grants you a limited, non-exclusive, non-transferable, revocable license to install and use the desktop application on a single authorised Windows machine for your internal business operations.

You may not:

  • Install or activate the license on more than one machine simultaneously without a separate license for each machine.
  • Share, sublicense, resell, transfer, or lend the license key to any third party.
  • Reverse-engineer, decompile, disassemble, modify, or create derivative works of the Software.
  • Remove or alter any proprietary notices, labels, or branding from the Software.
  • Use the Software for any unlawful purpose, including but not limited to tax evasion or fraudulent billing.
  • Attempt to circumvent or disable any license enforcement, machine-binding, or expiry mechanism.

Desktop licenses are issued per business outlet. Each physical or operational location requires its own license.

3B. Cloud POS License (app.talveraorbit.com)

Where your purchase includes Cloud POS access, Talvera Solutions LLP grants you a limited, non-exclusive, non-transferable license to access the cloud-based POS application via a web browser at app.talveraorbit.com. This access is subject to the store, counter, and user limits configured at the time of purchase by the administrator.

  • Cloud POS credentials (user ID and password) are issued once and are your responsibility to keep secure. The initial password is shown only at the time of issue.
  • You may not share your Cloud POS credentials with persons outside your authorised business operation.
  • The number of stores, billing counters, and user accounts is limited as per your license purchase. To increase limits, contact us.
  • Cloud POS data (sales, products, customers) is stored on our servers hosted on AWS via Supabase. By using Cloud POS, you consent to this storage.
  • We do not guarantee 100% uptime for the cloud service. Planned maintenance will be communicated where possible.
  • Upon license expiry or termination, Cloud POS access will be suspended. Data may be retained for up to 90 days after expiry before deletion.

4. Trial Period

A free 14-day trial is available and is provided solely for the purpose of evaluating the Software before purchase. We strongly recommend using the full trial period to verify that the Software meets your requirements before making any payment.

After the trial expires, access is suspended until a valid paid license is activated. No refund will be granted on the basis that the Software was not evaluated during the trial period.

5. Payment & Non-Refundability of Licenses

⚠ Non-Refundable — Please Read Carefully

All license fees paid to Talvera Solutions LLP are strictly non-refundable once the license key has been generated, issued, or activated on any machine. This policy applies regardless of whether the Software was subsequently used.

  • Payments are processed securely via Razorpay. We do not store your payment card or bank details.
  • GST at 18% is applicable on all purchases as per Indian tax law. A tax invoice will be issued after payment.
  • Licenses do not auto-renew. You are responsible for renewing before expiry to avoid service interruption.
  • Pricing is subject to change. Any change in pricing will not affect licenses already purchased.
  • Custom pricing offered directly by Talvera Solutions LLP is valid only for the specific transaction communicated and cannot be applied retroactively.

The following circumstances do not qualify for a refund:

  • Change of mind after payment
  • Switching to a different product or vendor
  • Not using the Software after activation
  • Failure to test the Software during the free trial before purchasing
  • Business closure, change of business model, or redundancy
  • Incompatibility with unsupported hardware or operating system versions
  • Accidental or duplicate purchase (contact us promptly — we will review on a case-by-case basis)

A refund may be considered only if: (a) you report a verified technical defect within 7 days of purchase; (b) the defect is confirmed by our team; and (c) we are unable to resolve it within 5 business days. Full details are in our Refund Policy.

6. Data & Privacy

Desktop Application:

All billing data, customer records, and sales history entered into the desktop application are stored locally on your Windows machine in a SQLite database. Talvera Solutions LLP does not collect, access, or transmit your business data. The only data transmitted to our servers is: license key activation, machine ID for binding, and periodic license heartbeat checks.

Cloud POS (app.talveraorbit.com):

Data entered into the Cloud POS — including products, customers, and sales — is stored on our cloud servers (AWS via Supabase). By using Cloud POS, you acknowledge and consent to this cloud storage. Talvera Solutions LLP takes reasonable measures to secure this data, but no cloud service is immune to all risks. You are responsible for operating within your jurisdiction's data privacy requirements.

7. Software Updates

Software updates are provided free of charge to all active license holders during the validity period of their license. We reserve the right to modify, add, or remove features at any time without prior notice. Continued use of the Software after an update constitutes acceptance of the updated version.

We do not guarantee backward compatibility with older versions of data or configurations in all circumstances.

8. Disclaimer of Warranties

The Software is provided "as is" and "as available" without warranty of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, accuracy, or non-infringement.

We do not warrant that:

  • The Software will be error-free or uninterrupted.
  • All defects will be corrected.
  • The Software is free from viruses or other harmful components.
  • The Software will meet all of your specific business requirements.

Talvera Solutions LLP does not provide legal, tax, accounting, compliance, or filing advice. Any GST, GSTR, e-invoice, e-way bill, or other statutory data, calculations, summaries, reports, or outputs generated by the Software are assistive tools only and must be independently reviewed, verified, and approved by you or your professional advisor before use, issuance, or submission.

9. Limitation of Liability

To the maximum extent permitted by applicable law, Talvera Solutions LLP, its partners, employees, and agents shall not be liable for any:

  • Loss of business data, profits, revenue, or goodwill
  • Business interruption or loss of opportunity
  • Data corruption or loss from hardware failure, power outage, or any cause
  • Errors in billing records, invoices, or reports generated by the Software
  • Any tax, GST, GSTR, e-invoice, e-way bill, ITC, HSN/SAC, classification, rate, return, or other statutory filing error, omission, mismatch, rejection, interest, penalty, or compliance consequence arising from data entered into, generated by, exported from, or relied upon through the Software
  • Any purchasing, stocking, pricing, accounting, or other business decision made using the Software or any report, calculation, or output generated by it
  • Indirect, incidental, consequential, special, or punitive damages of any nature

In any event, our aggregate liability to you for all claims arising under this Agreement shall not exceed the total amount you paid for the license in the 12 months preceding the claim.

Nothing in this Agreement excludes or limits any liability that cannot be excluded or limited under applicable law.

You acknowledge that taking regular data backups using the built-in backup feature is entirely your responsibility.

You are solely responsible for configuring the Software correctly for your business, maintaining accurate item masters and tax settings, reviewing every invoice and report, and validating all returns, filings, and statutory submissions before they are issued or filed with any authority.

10. Termination & Suspension

We reserve the right to deactivate or suspend a license, without notice and without refund, if:

  • The license is found to be in use on more than one machine simultaneously.
  • Fraudulent activation or circumvention of machine-binding is detected.
  • The Software is used in connection with any illegal activity.
  • You materially breach any provision of this Agreement.

Upon termination, your right to use the Software ceases immediately. Provisions relating to limitation of liability, disclaimer of warranties, and governing law survive termination.

11. Indemnification

You agree to indemnify, defend, and hold harmless Talvera Solutions LLP and its partners, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including legal fees) arising out of: (a) your use of the Software; (b) your violation of this Agreement; or (c) your violation of any applicable law or third-party rights.

12. Amendments

Talvera Solutions LLP reserves the right to update or revise these Terms at any time. The updated Terms will be published on this page with a revised date. Your continued use of the Software after such changes constitutes your acceptance of the revised Terms. If you do not agree to the revised Terms, you must discontinue use of the Software.

13. Governing Law & Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of India, without regard to conflict of law principles. Any dispute, claim, or controversy arising out of or relating to this Agreement shall be:

  • First attempted to be resolved amicably through written notice to support@talverasolutions.com, giving the other party 30 days to respond.
  • If unresolved, subject to the exclusive jurisdiction of the courts in Mumbai, Maharashtra, India.

You waive any objection to the jurisdiction or venue of such courts.
